About these terms
These terms apply to your use of this website and its app interface (together, the “interface”), which lets you create and manage protected payments. By accessing or using the interface, you agree to these terms on behalf of yourself or the entity you represent, and you confirm that you have the authority to do so. If you do not agree, do not use the interface.
The website and interface are provided and operated by Mastery Labs LLC, a South Carolina limited liability company (“Mastery Labs,” “we,” “us,” or “our”).
Indeficient Financial is a brand of Mastery Labs LLC. Protected Payments is a product of Indeficient Financial.
You must be at least 18 years old, and able to form a binding contract, to use the interface.
What we provide, and what we do not
We provide the interface: software that helps you prepare, review, and track protected payments. Protected payments themselves are carried out by a program deployed on the Solana network. The interface is one way to use that program; it does not hold, move, or control your funds.
We do not provide, and are not responsible for:
- your wallet, which is software from a separate provider under that provider’s own terms;
- the Solana network, which is operated independently of us;
- the RPC services the interface uses to read from and send to the network;
- the tokens used in payments, which are issued by third parties;
- block explorers and any other third-party service linked from the interface.
Your wallet and keys
The interface is self-custodial. We never receive, store, or ask for your private keys or recovery phrase, and we cannot move funds from your wallet. Every transaction is approved by you, in your wallet.
You are responsible for keeping your wallet and recovery phrase secure. We cannot recover access to a wallet, reverse a transaction you approved, or restore lost keys. Anyone who asks for your recovery phrase in our name is not us.
How protected payments work
When you create a protected payment, you choose the recipient, the amount, and a protection window from the options the interface offers. The payment moves from your wallet into a vault that belongs to that payment alone and is controlled by the program’s rules. The sender, recipient, amount, arbiter, and window are fixed when the payment is created and cannot be changed.
A protected payment can end in only these ways:
- the sender releases it to the recipient before the window closes;
- the window closes without a dispute, and the payment becomes available to the recipient (anyone can trigger this final step);
- the sender opens a dispute before the window closes, and the designated arbiter resolves it by refunding the sender or releasing the payment to the recipient.
A disputed payment stays held until the designated arbiter resolves it, the sender withdraws the dispute (which releases the full payment to the recipient), or the recipient refunds the sender in full. There is no automatic time limit on a dispute. Funds in a protected payment can only ever go to the original sender or the original recipient.
We charge no fees for using the interface. Solana network fees, and any account costs a transaction requires, are paid from your wallet and are shown when you review the transaction.
The designated arbiter
Each protected payment names a designated arbiter when it is created. The arbiter can act only on disputed payments, and only by choosing between two outcomes: refund the sender or release the payment to the recipient. The arbiter never receives the funds and cannot send them anywhere else.
We do not promise how quickly a dispute will be decided or what the outcome will be. Statements and files submitted in a dispute help the arbiter decide; they do not change who decides or the two possible outcomes.
Dispute statements and files
If you take part in a dispute, you may submit statements and files. You are responsible for them. They must be accurate to the best of your knowledge, relevant to the dispute, and yours to share.
- Your submissions are shown to the other party to the payment and to its designated arbiter.
- Once submitted, they cannot be edited or withdrawn through the interface. To correct something, add a new statement.
- We do not review submissions for accuracy, and we do not scan files for malware.
- You keep ownership of what you submit. You grant us a license to store, copy, and display it to the payment’s parties and arbiter, and to use it as needed to run the dispute, comply with law, and establish or defend legal claims.
- We may restrict access to or remove submissions that break the law or these terms.
Software and network risks
Using the interface and the program involves risk. In particular:
- the software may contain errors;
- a program that can be upgraded can have its rules changed by whoever holds its upgrade authority;
- transactions on a blockchain are public and, once final, cannot be undone;
- network congestion, outages, and differences between wallets can delay or prevent a transaction.
Acceptable use
You agree not to use the interface to:
- break any law or infringe anyone’s rights;
- misrepresent who you are or mislead anyone about a payment;
- submit false, misleading, or fabricated statements or files in a dispute;
- upload malicious files, or material you do not have the right to share, including other people’s personal information beyond what the dispute needs;
- interfere with the interface, the program, or other people’s use of them;
- attempt to exploit vulnerabilities, other than by reporting them to us.
License and ownership
Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the interface for your own lawful purposes. You may not sell, rent, lease, sublicense, or otherwise commercially exploit the interface or its content, or copy, republish, or redistribute any part of it except as these terms allow.
We may change, suspend, or discontinue the interface, or any part of it, at any time, with or without notice. We have no obligation to provide support or maintenance for it.
The interface and its content, including its design, text, graphics, and the Mastery Labs name, are owned by Mastery Labs or its licensors. These terms do not transfer any ownership to you. Wallet names and logos shown in the interface belong to their respective owners. All rights not expressly granted are reserved.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without attribution or payment to you. Please do not send feedback you consider confidential.
Privacy
Our Privacy Policy, published on this site, describes the information the interface handles and how. It forms part of these terms. If these terms and the Privacy Policy conflict about personal information, the Privacy Policy controls.
Indemnification
You agree to defend, indemnify, and hold harmless Mastery Labs and its officers, employees, and agents from any claims, and reasonable costs and attorneys’ fees, arising out of your use of the interface, your violation of these terms, or your violation of any law or the rights of any third party. We may assume control of the defense of any such claim at your expense, and you agree to cooperate with that defense. You may not settle any such claim without our prior written consent.
Disclaimers
THE INTERFACE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MASTERY LABS AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE INTERFACE, THE PROGRAM IT USES, OR ANY NETWORK OR THIRD-PARTY SERVICE WILL BE UNINTERRUPTED, ACCURATE, ERROR-FREE, SECURE, OR FREE OF HARMFUL CODE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) MASTERY LABS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY LOST PROFITS, LOST DATA, LOST DIGITAL ASSETS, COSTS OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE INTERFACE; AND (B) OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS IS LIMITED TO THE GREATER OF $50 USD AND THE AMOUNT YOU PAID US UNDER THESE TERMS IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. MULTIPLE CLAIMS DO NOT INCREASE THIS LIMIT.
This includes losses arising from the Solana network, wallets or other third-party services, errors in the software or the program, or loss of access to your wallet. Nothing in these terms limits liability that cannot be limited by law.
Termination
These terms apply for as long as you use the interface. We may suspend or end your access to the interface at any time, for any reason, including if we believe you have violated these terms. Ending your access to the interface does not affect payments already recorded on the network, which remain governed by the program’s rules. The sections on license and ownership, privacy, indemnification, disclaimers, limitation of liability, governing law, and general terms survive termination.
Governing law
These terms, and any dispute arising out of or relating to them or the interface, are governed by the laws of the State of South Carolina, without regard to its conflict-of-law principles. You and Mastery Labs consent to the exclusive jurisdiction and venue of the state and federal courts located in South Carolina, except that either party may bring an individual action in small claims court, or seek injunctive or other equitable relief to protect its intellectual property, in any court of competent jurisdiction.
